Welcome to Rocha Business Solutions ("we", "us", "our"). By visiting our website, buying our products, or hiring us for any service, you agree to these terms. If you don't agree, please don't use our site or services.

1. WHAT WE PROVIDE

We offer website design and setup (Starter and Pro plans), website management, business products such as NFC review cards, and a platform that connects businesses with independent photographers, videographers and other creators. Details of each plan or service are described on our website at the time of purchase.

2. ORDERS AND PAYMENT

- Prices are shown in U.S. dollars and may change at any time. The price you pay is the price shown when you place your order.
- Setup plans are one-time fees. The website management plan is billed monthly until cancelled.
- Your domain name and Shopify subscription are separate costs that you pay directly to those providers. They are not included in our prices.
- Payments are processed securely by Shopify and its payment partners. We do not store your card details.

3. WHAT WE NEED FROM YOU

To build or manage your website, we need accurate information from you, such as your business details, logo, photos, hours, menu or product list, and prices. Delays or missing information from you may delay delivery. You confirm that you own or have permission to use everything you give us, including logos, images, text and trademarks.

4. OWNERSHIP

- Content you provide remains yours.
- Once you have paid in full, you own the website content and design we create specifically for your business. We may reuse general tools, templates, code and methods that are not specific to your business.
- We may show your website in our portfolio unless you ask us not to.
- Ownership of photos and videos from creator bookings is covered in section 6.

5. WEBSITE MANAGEMENT

Management plans cover the work described on the plan page, such as small updates and upkeep. They do not cover major redesigns or new features, which we may quote separately.

6. CONTENT CREATION AND FREELANCERS

Rocha Business Solutions is a platform that connects businesses ("clients") with independent photographers, videographers and other creators ("freelancers"). We are not the provider of the creative work.

- Freelancers are independent contractors. They are not our employees, partners or agents. Each freelancer is responsible for their own work, equipment, schedule, insurance and taxes.
- The booking is an agreement between you and the freelancer. We arrange the match, handle booking and payment, and help resolve problems, but we do not control how a freelancer performs and are not responsible for the quality, timing or results of their work.
- We earn a commission from freelancer bookings. The price you see at checkout is the price you pay.
- Payments for bookings are made through us. We pay the freelancer after the work is delivered, less our commission.
- If a freelancer cannot attend, we will try to match you with a replacement or refund you for the unperformed booking.
- Ownership: Once you have paid in full, you own the final photos and videos delivered to you. The freelancer may display samples in their portfolio unless you ask them not to in writing. Raw or unedited files remain with the freelancer unless the booking says otherwise.
- Disputes between you and a freelancer: contact us first. We will try to help but are not obligated to resolve or pay for any dispute.

7. REFUNDS AND CANCELLATIONS

Refunds and cancellations are governed by our Return and Refund Policy and our Cancellation Policy, which are part of these terms.

8. THIRD-PARTY SERVICES

Your website depends on services we don't control, such as Shopify, payment processors, domain providers, apps and freelancers. We are not responsible for outages, changes, fees or policies of those services.

9. NO GUARANTEE OF RESULTS

We work to deliver a professional site and tools, but we cannot guarantee sales, traffic, rankings or any particular business result.

10. LIMITATION OF LIABILITY

To the fullest extent allowed by law, our services are provided "as is". We are not liable for indirect or consequential losses, such as lost profits or lost business, and we are not liable for the acts, work or omissions of freelancers. Our total liability for any claim will not exceed the amount you paid us for the service the claim relates to in the 3 months before the claim. Nothing in these terms limits any rights you have under applicable consumer protection law.

11. ENDING OUR RELATIONSHIP

You may stop using our services at any time, subject to the Return and Refund Policy. We may stop or refuse service if these terms are broken, if payment fails, or if your content is unlawful or harmful.

12. CHANGES TO THESE TERMS

We may update these terms from time to time. The "Last updated" date shows the latest version. Using our services after a change means you accept it.

13. GOVERNING LAW

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
